Pennsylvania Banner Users Group Constitution

CONSTITUTION

Article I

Name and Purpose

Section 1. Name. This Association shall be called the Pennsylvania Banner Users Group, hereafter referred to as PABUG.

Section 2. Mission Statement. To develop and maintain a network of Pennsylvania Higher Education institutions who use Systems and Computer Technology Corporation’s Banner software. PABUG will promote effective use of SunGard Higher Education Banner technology within each member institution and act as a collective voice to influence SunGard Higher Education product and policy direction.

Section 3. Supporting the Mission. To support this mission, a web site and listserv will be maintained to facilitate communication among members. In addition, processes will be developed so that member institutions may share expertise, best practices and institution-developed software.

Article II

Membership and Voting

Section 1. Membership. Membership shall be available to those universities, colleges and community colleges in the state of Pennsylvania which use the Banner software.

Section 2. Voting. Each higher education institution holding membership shall have one vote, to be cast by its designee on PABUG’s Board of Directors. In the event of a tie, the President of the Board of Directors will cast the deciding vote after consultation with the other members of the Executive Committee.

Article III

Organization

Section 1. Officers. The officers of PABUG shall be a President, Past President, Vice-President (i.e. President Elect), Secretary, and a Treasurer. Officers will be elected at the annual meeting with the exception of the Past President. Candidates for elected office will be chosen from among the membership of the Board of Directors and the PABUG Conference Committee. There shall be no more than one officer from any given Institution at any given time. Officers may serve in the same office for consecutive terms if so elected.

Officers of PABUG shall serve without pay, but shall be reimbursed for expenses incurred in the dispatch of their duties, including expenses for office supplies, and miscellaneous expenses as approved by the Board of Directors. Expenses incurred by the officers in attending regular meetings of PABUG will not be eligible for reimbursement.

Section 2. Executive Committee. The Executive Committee will be composed of the elected Officers of PABUG. Past officers many serve in an advisory council to be utilized at the discretion of the Executive Committee.

Section 3. Board of Directors. There shall be a Board of Directors composed of the Executive Committee and one designee of each full member institution. In the case of any vacancy on the Executive Committee, the Board of Directors shall elect a successor to hold office until the next annual meeting when the membership will elect a replacement.

Section 4. Interest Groups. The Banner software is broad in scope so it is expected that interest groups will evolve to address more specific support issues and needs of the PABUG membership. Interest groups are anticipated for each Banner module (Student, Financial Aid, Finance, Human Resources and Advancement) as well as an interest group for Banner technical support specialists.

Section 5. At-Large Board Membership. Interest groups may elect one representative from their committee to serve as an at-large member on the Board of Directors. At-large members will plan, communicate and coordinate interest group activities with the Board. At-large members will not have voting privileges on the Board.  If an interest group does not select an at-large representative, an at-large member may be nominated by the PABUG officers and approved by the Board of Directors.

Article IV

Duties

Section 1. Officers. The Officers will perform those duties necessary for conducting the day-to-day business of PABUG. The duties of each officer will be such as usually assigned to such an office. The Treasurer shall pay out no money except on the written order of the President.

Section 2. Board of Directors. The Board of Directors will prepare business for PABUG, set the time and place of the annual meeting, call special meetings, and act for PABUG.

Article V

Meetings

There shall be a regular annual meeting held as may be determined by the Board of Directors and such other meetings as the Board of Directors may see fit to call or as PABUG may direct. A majority of the Board members shall constitute a quorum.

Article VI

Membership Fee

Annual membership fees will be set each year.

Article VII

Amendments

The Constitution may be amended at any regular meeting of PABUG by a two-thirds majority of the Board of Directors present and voting.
